NOTICE OF PLANNED MERGER OF COMPANIES

The Management Board of Amiplay sp. z o.o. with its registered office in Warsaw and the Management Board of Diversa sp. z o.o. with its registered office in Warsaw hereby announce their intention to merge the two companies.
The merger will be carried out pursuant to Article 492 § 1 point 1 of the Commercial Companies Code, i.e., by transferring all the assets of Diversa sp. z o.o. to Amiplay sp. z o.o. (merger by acquisition).
The merger is being carried out under the simplified procedure referred to in Article 515¹ and Article 516 of the Commercial Companies Code, due to the fact that the sole shareholder of both companies is the Jankiewicz Family Foundation (Fundacja Rodzinna Rodziny Jankiewicz).
The merger plan has been agreed upon and signed by the management boards of the companies. In connection with the planned merger, shareholders and authorized persons may review the documents relating to the merger at the registered offices of the companies.
The planned merger will not result in the interruption of the operational activities of either brand. Following the merger, operations will be conducted by the acquiring company under the business name Diversa & Amiplay sp. z o.o.
